Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Glintwell LLC (“Company,” “we,” “our,” or “us”) regarding your use of the LedgerLink service and our website (collectively, the “Service”).

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

These Terms apply to all users of the Service, including Basic (Free), Pro, and Enterprise subscribers.

Service Description

LedgerLink is a Software-as-a-Service (SaaS) platform that converts PDF documents into structured data formats using artificial intelligence and machine learning technologies.

Core Features

• PDF to Excel, CSV, and JSON conversion
• AI-powered data extraction using advanced machine learning models
• Batch processing capabilities
• Usage analytics and performance dashboards
• Plan-based feature access and limitations

Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or unforeseen technical issues.

User Accounts and Registration

Account Creation

• You must provide accurate and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• One person or entity may maintain only one account unless authorized by us

Account Security

• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• We may suspend or terminate accounts that show signs of unauthorized access
• Use strong passwords and enable two-factor authentication when available

Subscription Plans and Usage Limits

Basic Plan (Free)

• Monthly Limit: 10 PDF conversions per month
• File Size Limit: Maximum 500KB per file
• Export Formats: Excel (.xlsx) only
• Processing: Standard AI models with 80% accuracy target
• Support: Email support with 48-hour response time

Pro Plan ($20/month)

• Monthly Limit: 500 PDF conversions per month
• File Size Limit: Maximum 5MB per file
• Export Formats: Excel, CSV, and JSON
• Processing: Enhanced AI models with 85% accuracy target
• Batch Processing: Up to 10 files simultaneously
• Analytics: Usage dashboard with performance metrics
• Support: Priority email support with 24-hour response time

Enterprise Plan (Custom Pricing)

• Monthly Limit: 5,000 PDF conversions per month
• File Size Limit: Maximum 50MB per file
• Export Formats: Multiple formats including custom options
• Processing: Premium AI models with 99% accuracy target
• Batch Processing: Up to 3,000 files simultaneously
• Integration: API access, QuickBooks/Xero integration
• Support: Dedicated account manager, phone and chat support
• Security: SOC 2 compliance, GDPR compliance

Payment Terms

Billing and Payments

• Pro plan subscriptions are billed monthly or annually in advance
• Annual subscriptions receive a 20% discount (Pro: $192/year vs $240/year)
• Enterprise plans are billed according to custom agreements
• All payments are processed securely through Stripe
• Prices are subject to change with 30 days' advance notice

Refunds and Cancellations

• You may cancel your subscription at any time
• Cancellations take effect at the end of the current billing period
• No partial refunds for unused portions of billing periods
• Refunds may be provided at our discretion for service issues
• Free Basic plan accounts may be cancelled immediately

Usage Overages

• Exceeding plan limits will result in service suspension until next billing cycle
• Pro users can upgrade to Enterprise for higher limits
• Enterprise customers may negotiate custom overage rates
• We will notify you when approaching plan limits

Acceptable Use Policy

Permitted Uses

• Convert business documents, invoices, receipts, and financial statements
• Process documents for legitimate business and personal purposes
• Export data in supported formats for your own use
• Use our API (Enterprise plan) according to documentation

Prohibited Uses

You may not use our Service to:

• Process documents containing illegal content or violating laws
• Attempt to reverse engineer or duplicate our AI models
• Exceed rate limits or attempt to circumvent usage restrictions
• Process personal data without proper consent or legal basis
• Share account credentials with unauthorized users
• Use the Service to compete directly with our business
• Process documents containing malware or malicious code
• Violate any applicable laws or regulations

Data Processing and Privacy

Your Data

• You retain ownership of all documents and data you upload
• We process your documents solely to provide the Service
• PDF files are processed in memory only and NEVER stored in our database
• PDF files are automatically deleted within 24 hours of processing
• Processing results are provided to you immediately - no extracted data retained in our systems
• You may request data deletion at any time

AI Processing

• Documents are processed using trusted third-party AI service providers
• AI providers process content transiently and do not store documents
• We use business-grade APIs with enhanced privacy protections
• Enterprise customers may request on-premises processing options

Data Security

We implement industry-standard security measures as detailed in our Security page and Privacy Policy.

Intellectual Property Rights

Our Rights

• We own all rights to the LedgerLink service, software, and technology
• Our trademarks, logos, and branding are protected intellectual property
• You may not copy, modify, or create derivative works of our Service
• These Terms grant you a limited license to use the Service

Your Rights

• You retain all rights to your original documents and data
• You grant us permission to process your documents to provide the Service
• You may use extracted data for your own business purposes
• You are responsible for ensuring you have rights to uploaded documents

Service Modifications and Availability

We reserve the right to modify, suspend, or discontinue the Service with or without notice. We may:

• Update features, functionality, and user interface
• Change pricing with 30 days' advance notice
• Modify usage limits and plan features
• Perform maintenance that may temporarily affect service availability
• Implement security measures that may impact service operation

We will make reasonable efforts to notify users of significant changes affecting service functionality.

Limitation of Liability and Disclaimers

Service Disclaimers

• The Service is provided “as is” without warranties of any kind
• We do not guarantee 100% accuracy in data extraction
• AI processing results may vary based on document quality and complexity
• You should verify extracted data before using it for business purposes
• We are not responsible for decisions made based on extracted data

Limitation of Liability

To the maximum extent permitted by law, Glintwell LLC's total liability for any claims arising from your use of the Service shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.

We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Indemnification

You agree to indemnify and hold harmless Glintwell LLC from any claims, damages, or expenses arising from:

• Your use of the Service in violation of these Terms
• Your violation of any applicable laws or regulations
• Your infringement of third-party intellectual property rights
• Your upload of unauthorized or illegal content
• Any data privacy violations resulting from your use of the Service

Termination

Termination by You

• You may terminate your account at any time through your account settings
• Subscription cancellations take effect at the end of the billing period
• You may request immediate data deletion upon termination

Termination by Us

We may suspend or terminate your account if you:

• Violate these Terms or our Acceptable Use Policy
• Fail to pay subscription fees when due
• Engage in fraudulent or illegal activities
• Pose a security risk to our systems or other users

Effect of Termination

• Your right to use the Service immediately ceases
• We will delete your account data according to our retention policy
• Provisions regarding liability, indemnification, and dispute resolution survive termination

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association, except for claims that may be brought in small claims court.

The arbitration shall be conducted in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction.

Changes to These Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on our website and updating the “Last updated” date.

Significant changes will be communicated via email to registered users at least 30 days before taking effect.

Your continued use of the Service after any changes constitute acceptance of the new Terms.
